Munich-based HR and payroll software maker Personio has acquired Berlin spend management platform Circula, its largest acquisition to date, the companies announced on October 6, 2026. They did not disclose the price.

The Personio Circula acquisition moves an HR vendor into the finance function. Circula covers travel and expense claims, corporate cards, accounts payable and employee benefits for more than 3,000 customers and about 250,000 users, among them Aston Martin, DATEV, Securitas and tonies.

For finance teams the question is practical. Payroll, reimbursements and card spend sit in separate systems at most mid-sized companies, and each needs its own reconciliation at close. Personio is betting that one vendor holding all three will be easier to run.

What the Personio Circula acquisition covers

Personio serves more than 16,000 companies employing a combined 1.6 million people. Circula was founded in Berlin in 2017 by Nikolai Skatchkov and Roman Leicht.

The two companies have worked together for years through an integration. More than 500 customers already use both products, including Everphone, About You and Westwing.

Circula will operate as “Circula by Personio”, and its team will move to Personio. Customers who do not use Personio can keep buying Circula as a standalone product, which will continue to be developed.

That commitment matters for existing Circula contracts. Neither company has published the terms on which current customers will renew or whether pricing changes, and the announcement does not say.

Personio said the deal will make it the only European provider to handle all of a company’s spending on its employees on one platform: salaries, benefits, reimbursements and corporate cards.

Why Personio wants spend management

Hanno Renner, Personio’s co-founder and chief executive, said: “Spend management is one of the capabilities our customers ask us for most.” The company’s stated aim is to be the system European businesses run their entire workforce on.

The logic follows the money. Salaries are the largest line in most budgets, and expense claims, per diems and card spend are the next layer of employee-related cost. Payroll data already tells a platform who works where and on what terms, which is the input an expense policy needs.

The deal is Personio’s second of 2026. It earlier bought aurio, a Munich recruiting AI startup.

Circula raised about €15 million last year from existing investors including Alstin Capital and Capnamic Ventures. Whether those investors made a return on the sale is not known, because the price is undisclosed.

Corporate cards and the Pliant link

Circula’s corporate card is issued by Pliant, a Berlin-based provider. Pliant said about 25% of Circula’s customers use the card and that it accounts for roughly 10% of Circula’s revenue.

That split shows where the business sits. Circula earns most of its revenue from software for expense and travel handling, with cards a smaller and growing add-on. Neither company has said whether the Pliant arrangement continues unchanged after the sale.

Cards are also where an HR vendor takes on the most new exposure. Issuing and settling card spend brings interchange income, but also credit and compliance questions that a payroll business has not had to answer. The announcement does not say whether Personio will keep Pliant as issuer or seek a different partner.

Accountio could not verify which regulatory licences Circula itself holds. Card issuing is the regulated activity, and in Circula’s case Pliant carries it.

How spend management buyers are placed

Personio enters a crowded field. Pleo of Denmark, valued at $4.7 billion, Spendesk of Paris and Berlin-based Moss, valued at $1 billion, all sell cards and expense software to the same mid-market buyers.

In the United States, Ramp has built its business on the same pairing of cards and automated accounting. Corporate expense groups such as Emburse, profiled by Accountio, sell across the same categories from the enterprise end.

Personio’s route is different from all of them. It starts from the HR record, where the others start from the card or the ledger. Finance teams comparing options can see how the field divides in Accountio’s guide to spend management software.

Other payroll vendors have also moved to widen their scope. Papaya Global and PayFit both pitch payroll as the base for a broader workforce platform. Accountio has also examined how expense cards are changing payroll outsourcing economics.

What it means for accountants and finance teams

For a firm that advises clients on expense management, the first test is the data flow. Payroll and reimbursements that post to the ledger from one system reduce the manual matching that slows month-end. The test is whether Personio extends its existing accounting integrations to Circula’s data, and the companies have not published an integration timetable.

The second test is German compliance. Expense and travel handling in Germany carries specific tax rules, including treatment of per diems and receipts, and Circula’s customers include DATEV, whose software many German practices use. Accountio found no public statement on how the product’s tax handling will change under Personio, so firms should ask for it in writing.

Accountio sought comment from both companies and from independent finance leaders on whether HR-led suites are displacing standalone spend tools. Only the Renner statement above had been published at the time of writing, and no independent analyst view was available.

The evidence on displacement is therefore thin. Over 500 shared customers show demand for the combination, but they are a small share of Circula’s 3,000 and of Personio’s 16,000. The broader category is covered in Accountio’s directory of spend and expense management software.

Buyers with a standalone Circula contract should ask three questions now: who issues the card, where the data is hosted, and whether the standalone price holds at renewal. Personio has said Circula will keep developing as a standalone product, and the first integrated release under the Circula by Personio name is the next thing to watch.
