What are sales tax exemption certificates?
Sales tax exemption certificates are documents a US buyer gives a seller to show that a purchase is exempt from sales tax, for example because the goods will be resold or the buyer is a non-profit or government body. The seller keeps the certificate as evidence; without a valid one, it can be liable for the uncollected tax.

How exemption certificates work
Each state sets its own forms and rules, though many accept multistate forms such as the Streamlined Sales Tax certificate or the Multistate Tax Commission's uniform certificate. The seller collects the certificate before or at the time of sale, checks it is complete and valid for that state and type of exemption, records which customers and states it covers, and tracks expiry dates, since some certificates must be renewed. In an audit, every exempt sale must be backed by a valid certificate, and missing or expired ones are one of the most common sources of assessments. For businesses with many B2B or reseller customers, managing certificates by hand quickly becomes unworkable. Exemption certificate management software collects certificates through customer portals, reads and validates them, links them to the tax engine and flags expiries. Avalara, Anrok, Zamp and Kintsugi manage exemption certificates within their sales tax platforms.
Common questions
What is a resale certificate?+
A type of exemption certificate a buyer gives when purchasing goods to resell, so sales tax is collected only on the final sale to the end customer.
What happens if a seller does not have a valid exemption certificate?+
In an audit, the state can treat the sale as taxable and assess the seller for the uncollected tax, plus interest and possibly penalties.
Do exemption certificates expire?+
In some states and for some exemption types, yes. Sellers need to track expiry dates and request renewed certificates to keep exempt sales covered.
